THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE SCALEMODO PLATFORM AND SERVICES. PLEASE READ THEM CAREFULLY. BY CREATING AN ACCOUNT OR ACCESSING THE PLATFORM, YOU CONFIRM THAT:

YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS;

YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT;

YOU HAVE THE AUTHORITY TO ACCEPT THESE TERMS ON BEHALF OF YOURSELF OR YOUR COMPANY.

These Terms of Service form a binding agreement between you and Organic Target, MB, a Lithuanian company ("Scalemodo," "we," "our," or "us"). Your continued use of the Scalemodo platform means you accept any updates to these Terms.

GOVERNING LAW

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict of laws.

PRIVACY & DATA PROTECTION

By using Scalemodo, you agree to our Privacy Policy, which outlines how we collect, use, and protect personal data in compliance with GDPR. We are not a healthcare provider and therefore do not process data covered by HIPAA unless explicitly stated and contracted under a HIPAA Business Associate Agreement.

By subscribing to any paid plan on the Scalemodo platform, you acknowledge and consent that your personal data will not be shared with any external parties outside the platform, unless required by law or for technical service provision directly related to the operation of the platform.

By joining the Scalemodo community space within the platform, you acknowledge that your profile (including name and contact information, if voluntarily shared) may be visible to other members who are also users of Scalemodo. No information will be shared outside the platform. You may opt out of the community at any time by adjusting your user preferences.

PLATFORM USE & LICENSE

You are granted a limited, non-transferable, non-exclusive license to use Scalemodo for your internal business purposes. You may not:

Use the platform in jurisdictions where AI tools are restricted or prohibited.

Copy, modify, reverse-engineer, or distribute any part of the platform.

Resell or relicense the platform without written agreement.

You may white-label Scalemodo and resell it under your own brand if you are an approved agency partner.

CUSTOMER RESPONSIBILITY

You are fully responsible for your end users and customers, including their compliance with local laws. You must implement your own Terms of Service and Privacy Policy for your customers that align with these Terms.

You are also responsible for:

Verifying your customers’ identity and use case.

Managing any customer complaints.

All communications (e.g. SMS, email, chatbots) sent via the platform.

FEES, PAYMENTS & REFUNDS

Fees are charged in EUR. You must maintain an active payment method. You may load wallet credit to your account. No refunds are issued unless required by law or explicitly guaranteed by your custom agreement.

Some features on the platform incur additional usage-based charges beyond the standard subscription.

These include, but are not limited to:

Sending SMS or MMS messages

Sending emails through platform-integrated email services

Sending WhatsApp messages via third-party integration

Purchasing and maintaining virtual phone numbers (for SMS/call capabilities)

Call minutes and voicemail

You are solely responsible for monitoring and maintaining your wallet balance to cover these charges. Scalemodo is not liable for service interruptions due to insufficient wallet funds. Usage fees will be itemized in your billing dashboard and are non-refundable once incurred.

AFFILIATE AND RESELLING

We offer an affiliate program with commissions for referrals. By reselling, you agree not to offer lifetime deals or undercut our Minimum Advertised Price (MAP) unless given written exception.

Standard MAP for one account: €99/month or €970/year (subject to change).

THIRD PARTY INTEGRATIONS

Scalemodo integrates with third-party tools (e.g., Stripe, Google, Meta). You are responsible for ensuring you have the rights and data consents necessary for those integrations. We disclaim all liability for third-party services.

LIMITATION OF LIABILITY

We are not liable for any indirect or consequential damages, business interruption, or data loss. Our total liability is capped at the amount you paid us in the past 3 months. If you only use free services, our maximum liability is €100.

INTELLECTUAL PROPERTY

All rights, title, and interest in the platform and any updates, improvements, or feedback belong solely to Scalemodo. You may not use our trademarks or brand assets without prior written consent.

TERMINATION

We may suspend or terminate your account at any time if you violate these terms or applicable law. You may cancel your subscription at any time; however, no refunds will be issued for unused time.

EXPORT CONTROLS & COMPLIANCE

You may not use Scalemodo if you are located in or operate from a country sanctioned by the European Union or United States. You agree to comply with all relevant export and data control laws.
